Your new role
We are searching for a highly experienced Company Secretary with direct accountability to the Board to provide governance expertise to the Board, CEO and Executive. Join an organisation that is committed to good practice in corporate governance and leadership.
Some Key Accountabilities:
- Support the CEO and Board to maintain strong governance over the organisation.
- Work closely with the CEO and Board to co-ordinate Board & Committee meetings.
- Drive the annual Board evaluation cycle.
- Work with the Board to facilitate the Board member development plans.
- Work closely with the CEO to facilitate the smooth functioning of Executive Meetings and executive committee meetings.
- Take minutes of Board and Committee meetings.
- Co-ordinate legal triage and advice where appropriate.
- Manage the workflow and daily tasks of governance to achieve a high level of service to the CEO and Board of Directors.
- Complete Board papers on behalf of the CEO.
- Prepare, review, prioritise and distribute correspondence including the coordination of reports and submissions.
- Coordinate special projects on behalf of the CEO and Board.
- Support event management which involves the Board.
- Liaison with outside consultants and other points of contact on behalf of the CEO & Board.
- Ensure a good flow of information and communication between the Board and CEO to the Executive.
- Ensure activities comply with MEGT policies and governance standards.
- Support compliance and reporting requirements to statutory and third parties are accurately and timely fulfilled.
- Commitment and demonstrated ability to provide and encourage quality service and fostering effective working relationships between management and Board of Directors.
- Identify opportunities for innovation and continuous improvement.
What you'll need to succeed
You will be an accomplished Company Secretary with substantial experience leading the Company Secretary function in a large, complex organisation. You are an accredited governance professional with commensurate qualifications and a current member of an applicable representative organisation such as the Governance Institute. Ideally, you will:
- Graduate Diploma in Corporate Governance (Governance Institute) would be highly regarded
- Qualifications in law or finance would be well regarded
- Minimum 5 years' experience in a governance role
- Demonstrated experience providing support at CEO and Board level.
- Demonstrated experience managing multiple priorities in a fast-paced environment.
- Demonstrated competency with Board portal Software. MEGT uses Convene.
