About the role
As the Assistant Company Secretary, you will provide governance, high level administrative, project and secretariat support to the Governance & Legal team and ensure a high quality of services to all stakeholders.
In this role you will you will:
- Primary contact for Board sub-committee and subsidiary board chairs.
- Manage and plan meeting logistics across all state and territory offices.
- Prepare and finalize agendas with management and relevant chairs.
- Ensure timely distribution of high-quality meeting materials.
- Maintain action item schedules and accurately record meeting minutes.
- Keep statutory records for subsidiaries efficiently.
- Support elections and organization of significant meetings like the AGM.
- Stay updated on corporate governance standards and trends.
- Deliver corporate governance training and provide ad-hoc legal advice.
- Develop and amend governance documentation and procedures.
- Analyze regulatory developments and compile governance reports for the Annual Report.
- Enhance governance practices through business partnerships.
- Coach and support skill development in colleagues.

Here’s what we’re looking for
- An individual of the highest integrity with an unwavering commitment to professional ethics
- 3+ years prior company secretariat experience, preferably within a public company or membership association.
- Tertiary qualification in law or other business-related discipline
- Graduate Diploma of Applied Corporate Governance or other relevant professional qualification.
- Strong interpersonal, communication (written and verbal) and relationship skills.
- A proven team player and networked thinker with a capacity to liaise respectfully and effectively with stakeholders and build strong and sustainable professional relationships within Engineers Australia and across its diverse workforce.
- Highly organised, strong time management skills, and the ability to prioritise work appropriately and successfully manage competing priorities and deadlines with minimal supervision.
- Confident, highly professional, and effective communication (written and verbal)
- Highly self-motivated, a growth mindset and a desire to learn and continuously improve.
