Rare opportunity for an experienced Company Secretary working with a market leading national bank within a dynamic and growing team!Our client is seeking a dedicated and experienced Company Secretary to join their team in Melbourne. This role offers the opportunity to provide high-quality services to the customers of Board Services and contribute to a high-performing, customer-focused team. This role requires a deep understanding of corporate governance matters relating to the Group and compliance with various regulatory bodies.About the Role:
Your unique contribution will be your ability to establish deep relationships with business partners, manage company secretarial services effectively, and provide expert advice on corporate governance matters. You will also be responsible for maintaining information systems, ensuring compliance with regulatory requirements, supporting the Group Company Secretary, preparing corporate governance-related documentation, proofreading documents, maintaining registers and databases, and supervising staff.
- Establish deep and effective relationships with business partners and peers to understand their business drivers and strategic priorities
- Manage the provision of efficient, effective and timely company secretarial services to the Group of Companies
- Maintain and continually improve the information systems and processes appropriate for all boards and entities
- Provide advice on corporate governance matters relating to the Group
- Manage the Group's compliance with the requirements of the Corporations Act, APRA Prudential Standards, ASX and NZX Listing Rules
- Support the Group Company Secretary with the preparation of Board papers and other materials as required
- Proofread, prepare, file documentation and maintain various governance registers and databases
The ideal candidate for the Company Secretary role will bring a wealth of experience and knowledge in corporate governance and company secretarial matters. You will have a relevant tertiary qualification, strong communication skills, and be an Associate or Fellow of the Governance Institute of Australia. Your previous experience in a similar role within an ASX listed Australian corporate will be highly regarded. You will also possess superior knowledge of the Corporations Act, ASX Listing Rules, and other relevant laws. Your organisational skills, attention to detail, ability to make effective decisions, and strict adherence to confidentiality will set you apart.
- Relevant tertiary qualification (e.g Bachelor of Laws, Bachelor of Commerce) or Graduate Diploma of Applied Corporate Governance
- Strong written and verbal communication skills
- Associate or Fellow of Governance Institute of Australia
- 2 or 3 year previous work experience in the Company Secretariat department of an ASX listed Australian corporate or post-admission experience advising on corporate governance and company secretarial matters
- Superior knowledge and understanding of Corporations Act and Regulations, ASX Listing Rules, ASX Corporate Governance Principles and other relevant law relating to corporate governance
- Highly organised with excellent time management skills
- Effective decision making and delegation skills
- Strong attention to detail
- Strict adherence to confidentiality at all times
- Ability to work autonomously and use initiative to drive success
