The purpose of the the Company Secretary – Subsidiaries is to provide high quality company secretarial support for ANZ Australian subsidiaries, and to support ANZ appointed directors to external positions. You will also support the Company Secretary – Subsidiaries to provide multi-jurisdictional corporate governance and company secretarial advice for ANZ’s legal presence outside Australia and New Zealand.
Some of the accountabilities include, but are not limited to:
Arranging the appointment of directors (and equivalent positions) by ANZ to entities in over 20 jurisdictions, including statutory lodgements in Australia and other notifications as required
Arranging director training and induction
Assisting the Company Secretary – Subsidiaries in relation to shareholder and corporate governance matters for entities outside Australia and New Zealand
Acting as statutory Company Secretary (to support the primary Company Secretary) for Australian subsidiaries assigned to the role.
Coordinating the year end activities for all Australian subsidiaries
Becoming a subject matter expert on ANZ’s current and past global legal entity structure and taking a lead role in producing tailored reporting from GEMS (the entity database) to meet stakeholder needs.
Coordinating with the vendor of Boardvantage (the electronic board paper portal) in relation to contract management and invoices.

Role Type: Permanent, part time (3 days a week)
What will you bring?
To grow and be successful in this role, you will ideally bring the following:
Experience in corporate governance and company secretarial practice in Australia or other common law jurisdiction, ideally for subsidiaries
Excellent written and oral communication skills, and strong interpersonal skills.
Good conceptual, analytical, and problem-solving skills.
Ability to work autonomously and as part of a team.
Ability to plan and prioritise tasks arising from multiple stakeholders and work under pressure to meet business and statutory deadlines.
Proficiency, or ability to quickly develop proficiency, in Microsoft Office programs – Work, Outlook, Teams, Excel, PowerPoint
Ability to become an expert user in applications and portals required for the role (GEMS, Boardvantage, ASIC and APRA portals)
