IBN is the Trustee for the Mining Area C (MAC) Agreement between BHP Billiton Pty Ltd and the IBN Claim Group - the Yinhawangka, Banyjima and Nyiyaparli people of the Pilbara.
Established in 2001, IBN is a charitable business operated for the advancement and prosperity of these communities. We provide programs and services to raise the personal, social and economic wellbeing of our members and deliver support and programs in health, education, housing, culture, enterprise development and employment.
IBN’s head office is in South Hedland, Western Australia, approximately 350 kilometres north of the Mining Area C Project and we also have offices in Perth, Tom Price and Karratha.
Reporting directly to the CEO and working closely with the Co-Chairs and Company Secretary, the Governance Officer provides governance support to the Board of IBN, its subsidiaries and its representative corporations. The position is responsible for smooth running of the various Boards and committees within IBN and its related organisations. This includes ensuring that meeting agendas, Board papers, action items and minutes, regulatory reporting and compliance obligations are completed to a high standard in a timely fashion.
The IBN Board and its subsidiary (IMMS) both meet 11 times a year alternating between Perth and the Pilbara. (South Hedland and Karratha) Meetings are scheduled as a full day. IBN’s main office is located in South Hedland, however consideration will be given for this position to be based either Perth or South Hedland based for the ideal candidate. The role will involve travel between Perth and the Pilbara and is between 0.5 to 1 full time equivalent (Hours to be negotiated) The salary negotiable dependent on your experience and skills.
ResponsibilitiesKey responsibilities of this role include and are not limited:
- Delivering professional secretariat services to the Board and Committees including:
- Collating agendas, meeting papers and action items
- Attending meetings and preparing minutes in a timely way
- Developing and maintaining a decisions register
- Responsible for the management of the governance software Boardpro and training.
- Developing and maintaining Governance, Compliance and Reporting Calendars and Registers and ensuring all governance obligations are met on time.
- Contribute informed governance and administrative support to the organisation as a whole.
- Develop and maintain risk management framework.
- Contribute to the development and improvement of WHS and risk management initiatives and practices in the work place.
- Other duties as required
- Qualifications and experience as a lawyer or paralegal will be highly regarded.
- Experience in taking minutes and managing agendas in a high paced and dynamic meeting environment.
- Highly developed written and verbal communication skills with the ability to concisely summarise discussions and proofread documents with attention to detail.
- Experience working with Aboriginal people, Aboriginal Corporations and an understanding of Australian culture will be highly regarded.
- The ability to maintain high levels of confidentiality.
- A working knowledge, or ability to quickly develop knowledge, of the regulatory requirements under the Corporations Act, ACNC Act and the Corporations (ATSI) Act.
- Ability to work independently, demonstrate strong organisational skills and to prioritise tasks to meet multiple overlapping deadlines.
- Experience working with others cooperatively, building governance capacity across organisations and resolving challenges that impact achieving your goals.
- An ability to communicate sensitively and effectively with Aboriginal and/or Torres Strait Islander people.
