POSITION SUMMARY
NTDC is seeking non-executive directors for our board as we work together for the region to flourish and grow. Our ideal candidates will be values-driven, committed to building positive culture within the organisation and the region, and have a broad understanding of regional development policy and best practices to create long-term, sustainable growth in Northern Tasmania.
We are specifically seeking at least one person with exceptional financial literacy and skills in facilitating financial discussions for the company. Governance expertise would also be an advantage. The following roles are available on our board, which could be combined, depending on the candidate/s:
Company Secretary - Responsible for:
- advising the board and its committees on governance matters
- monitoring that board and committee policy and procedures are followed
- coordinating the timely completion and despatch of board and committee papers
- ensuring that the business at board and committee meetings is accurately captured in the minutes
- helping to organise and facilitate the induction and professional development of directors.
This role is supported by the staff of NTDC for administrative and secretarial duties. Time requirement is estimated at around 10 hours per month on average.
Chair of Audit, Finance and Risk Committee - Responsible for:
- chairing meetings of the AFR Committee
- monitoring financial performance
- oversight and monitoring of financial management systems, including financial audits (internal and external)
- monitoring financial and strategic risks for the Company
This candidate may also be the Company Secretary or another board member with financial literacy. Time requirement is estimated at around 8 hours per month on average.
Industry Specialist – Representatives of private industry from any major sector in the North. Base time requirement is a standard board position at around 5 hours per month on average.
A modest stipend with super will be available in a range commensurate with the role and level of responsibility.
SELECTION CRITERIA
Board Directors will be selected on the basis of the following expertise:
- Values aligned with NTDC. Connected, Clear, Curious and Creative (see strategic plan).
- Cultural leadership. Takes responsibility for finding the potential in people and processes and has the courage to develop that potential with the board, staff, members, stakeholders and broader community.
- Commits to the development of Northern Tasmania. Demonstrates commitment and connection to the region.
- Is a connector and harnesses potential. Able to see the connections between organisations, people and resources to create opportunities for the region.
- Knows regional economic development. Has a developed sense of the role of regional economic development.
- Has clear knowledge of governance and board processes. Able to shape the role within existing boundaries and work with the Chair, Company Secretary, CEO and Members effectively.
PREFERRED EXPERIENCE
Exceptional candidates will be able to demonstrate:
- Strategic expertise. The ability to review the strategy through constructive questioning and suggestion and contribute to the effective decision making of the board.
- Risk management. Experience in managing areas of major risk management in the organisation.
- Finance and accounting – Has a clear sense of what it is and how it can be achieved.
- Business experience - Competency and contemporary experience in business, marketing, finance and corporate governance.
- Experience in board roles and/or completion of the Company Directors Course at the Australian Institute of Company Directors (or equivalent).
- A background in the priority industries highlighted in the Regional Economic Development Plan.
