The role
Reporting to our CEO, we are looking for a Company Secretary to work across ESA to advise the Board, it’s Committees and the CEO to ensure that ESA’s governance is consistent with its legislated powers, duties and responsibilities and provide advice on all governance related matters.
Flexible work options, the role is 0.8 capacity per week.
Some of your key duties are to:
- Ensure all Board and Committee meetings are called and held
- Prepare agendas, papers, minutes, discussion papers and out-of-session proposals
- Ensure registers are established and properly maintained and reports are prepared in accordance of ACNC and the Corporations Act requirements
- Provide or procure advice for Directors regarding application of the Corporations Act, Company Constitution, ACNC Governance Standards and other legal and regulatory requirements
- Assist in the preparation of ESA’s annual reports, strategic plans and budgets
- Provide advice to the Board on good practice in corporate governance and compliance
- Ensure ESA is informed of new and proposed legislation which may affect governance activities and drive a culture of good governance across the organisation.
- Provide advice and support to the CEO and executive team in relation to Education Ministers’ Meeting (EMM) matters
- Ensure all papers and reporting are completed in time for key stakeholder meetings.
About you
- You are a highly organised, pro-active person, with strong attention to detail, high-level interpersonal skills and committed to quality service delivery
- You have experience in supporting Committees and/or a Board and CEO.
- You have a deep knowledge of governance requirements and best practice approach to ensure efficient delivery of Company Secretary services
- You have excellent writing, communication and analytical skills
- You can work independently at a high level and meet strict deadlines.
- You have superior stakeholder management skills to ensure you gain the trust and confidence of the Board and Executive
- You have excellent organisational skills, with the ability to manage complex and multi-disciplinary tasks simultaneously.
Desirable
- You have experience in working with government departments, in particular in the preparation of reports and/or briefs
- You have knowledge of a national education systems and structures
- You have completed a relevant Company Secretary qualification or course.
